# 90% of Buyers Expect Seller Financing. Only 29% of Sellers Plan to Offer It.

A buyer expects a bridge. A seller may have no intention of building one.

That is the tension in the Q2 2026 BizBuySell Insight Report: 90% of buyers expect seller financing to play some role in an acquisition, while only 29% of owners plan to offer it. Almost half say they will not; another 23% have not decided.

For a business owner considering an exit, this is not a command to finance a buyer. A seller note is a business decision, not an obligation. But deciding whether to discuss one only after an offer arrives can put the seller on the back foot, when the buyer, lender, and deadline are already shaping the terms.

The useful move is to consider the question early, understand what a note could mean for your own finances, and decide what you would need to see before entertaining it.

## The expectation gap is a transaction issue, not a rule

According to [Small Business Trends’ coverage of the BizBuySell Q2 2026 Insight Report](https://smallbiztrends.com/small-business-acquisitions-drop-10-as-buyers-get-more-selective/), 2,117 businesses sold in the quarter, down 10% year over year. The median sale price was $349,250, down 1%, and the average cash-flow multiple was 2.7, up 2%. Median cash flow was $155,921 and median revenue was $692,087, each down 3%. The average revenue multiple was 0.7.

These are national figures across businesses that sold, not a pricing guide for a specific Florida company. They do, however, describe a market where financing and documented earnings matter to the conversation. The report also says 78% of buyers expect to use SBA-backed financing.

A buyer who expects a seller note may be thinking of it as one piece of a larger funding plan, not necessarily as the seller carrying a large share of the purchase price. But if a seller refuses to discuss financing at all, buyers who were counting on SBA financing and a possible note may decide the deal cannot work for them. That can narrow the field before the business has even been evaluated on its merits.

![Dave Britton standing on one side of a broken bridge facing a buyer across the gap, illustrating the seller-financing expectation gap in a Florida business sale](https://cdn.marblism.com/mnxrkQBgO_U.webp)

The report’s other findings reinforce the case for preparation. While 52% of surveyed owners said they have an exit plan, only 14% had completed a professional business valuation. Half had only a rough estimate of value, and 35% did not know their business’s value. Retirement was cited as a reason for selling by 45% of owners; another opportunity by 29%; burnout by 21%; and economic uncertainty by 13%.

A financing decision made without a clear picture of value, financial records, and retirement income needs is guesswork. The goal is not to promise a note. It is to avoid making a major deal decision for the first time under pressure.

## What “seller financing” can mean in an SBA-backed deal

Seller financing generally means that the seller accepts a promissory note for some portion of the purchase price rather than receiving that entire portion at closing. The buyer repays the note under agreed terms. The amount, interest, payment schedule, maturity, security, and any other protections must be negotiated and documented.

For an SBA-backed change of ownership, there is an additional consideration. Under the SBA’s current rules, the [SBA Information Notice 5000-880695](https://legacy.sba.gov/sites/default/files/2026-08/SBA%20Information%20Notice%205000-880695%20-%20Issuance%20of%20SOP%2050%2010%208.1.pdf) announces SOP 50 10 8.1, effective October 1, 2026. The rules described for a complete change of ownership include a 10% minimum equity injection. A seller note on full standby may count toward only a limited portion of that injection, subject to an aggregate cap when combined with other limited sources. The remaining injection must come from unlimited sources, such as the buyer’s own unborrowed cash.

“Full standby” means no principal or interest payments on the seller note until the SBA loan is paid off. That could mean the seller waits a long time to receive payments, so the phrase deserves more than a quick nod at the negotiating table.

These are not legal or lending instructions. SBA requirements and lender policies can depend on the transaction and its details. Any seller considering a note should confirm the proposed structure with the buyer’s SBA lender and the seller’s attorney. A CPA can also review relevant financial and tax questions. The [BizBuySell Insight Report](https://www.bizbuysell.com/insight-report/) is useful market context; it is not a substitute for deal-specific professional review.

## Decide what you can live with before the buyer writes the terms

A seller note can become the price of staying in the game for a buyer whose funding depends on a structure that includes one. That does not mean it is automatically good for the seller. The seller is exchanging some cash at closing for a promise of payment later, and will need to assess that promise, the delay, and the risks in light of their own goals.

Before a buyer asks, consider the questions that shape your boundaries:

- **What is your floor price?** Distinguish the value and terms you might consider from a number based only on what you hope to receive. A note can change the practical economics of an offer even when its headline price looks acceptable.
- **How much cash do you need at closing?** Consider your anticipated after-sale income needs and the role immediate proceeds would play in your retirement or next chapter.
- **What would a payment delay mean?** If full standby is proposed, model how deferred payments could affect your cash flow and plans. Do not treat the note as cash in hand.
- **What security and recourse would you require to discuss?** Collateral, subordination, guarantees, default terms, and the buyer’s ability to repay are matters to review with the appropriate professionals. No single structure fits every transaction.
- **What are you willing to negotiate?** Write down which terms you would consider, which need professional review, and which would end the discussion.

A seller does not need to have every term solved before going to market. The point is to know which questions matter and to avoid being surprised by them during diligence.

## Seller-financing readiness mirror

This self-quiz is a reflection tool, not a pass/fail test. Score each answer: **Yes = 2 points; Partly = 1 point; Not yet = 0 points.**

1. I know the minimum cash proceeds I would need at closing.
2. I have considered how delayed payments could affect my personal cash-flow plans.
3. I can distinguish a proposed sale price from the timing and risk of receiving the proceeds.
4. I know which note terms I would want to review with my lender, attorney, and CPA.
5. I have a current, evidence-based understanding of my company’s earnings and likely market value.

Add your points for a maximum of 10. A lower score does not mean you should or should not offer financing. It points to topics worth clarifying before negotiations. A high score does not mean a particular note is safe or suitable; every proposed structure needs its own review.

## Note-readiness worksheet: put your terms on paper

Before a buyer writes a proposal, take time to draft your own starting position. Do not treat it as a binding offer or professional advice.

1. **Write down your floor price and cash-at-closing needs.** Note separately what you would need from closing proceeds and what, if anything, might be considered for a note.
2. **List your after-sale income needs.** Consider what a payment delay, including a full-standby period, could mean for your retirement cash flow.
3. **Define the questions you need answered.** Record your concerns about amount, term, payment timing, standby, collateral, subordination, and personal-guarantee considerations.
4. **Mark the professional-review items.** Ask your lender about SBA treatment and loan requirements; ask your attorney to assess legal terms and documents; ask your CPA to review tax and financial implications.
5. **Set a process for reviewing offers.** Decide who needs to review a proposed note and what information you would want about the buyer and funding plan before responding.

## Prepare before the financing question arrives

Seller financing is only one part of a sale. Buyers and lenders may also scrutinize earnings, tax returns, customer concentration, owner dependence, working capital, and whether the business can continue operating after the seller exits. Clear financial records and transferable operations help make those conversations more concrete.

Owners who are still organizing the basics can review the [$39 “Is Your Business Ready to Sell?” eBook](https://dave-s-site-b554.thinkific.com/products/courses/is-your-business-ready-to-sell), a practical guide to financial records, owner dependence, customer relationships, and transfer planning. Additional educational resources are available through the [LoboBusinessSales.com learning page](https://lobobusinesssales.com/learn).

The [Lobo Business Value Estimator™](https://lobobusinesssales.com/business-valuation-calculator) can offer a preliminary reference point. It does not store information or initiate outreach, and it is not a professional valuation or an offer of value.

For owners in Hillsborough, Pasco, Pinellas, Hernando, and Polk counties, and digital-business owners elsewhere in Florida, these preparation steps can make a future conversation clearer. For a Florida transaction, including a digital business such as a SaaS or e-commerce company, confirm the licensing and professional requirements for the transaction with qualified advisers. A Florida-licensed broker should handle brokerage representation where applicable.

## The decision is yours; make it before it is urgent

A carry-back note may help bridge a buyer’s funding plan and a seller’s expectations. It may also defer proceeds the seller needs or introduce risks the seller is unwilling to accept. Neither outcome should be assumed from a buyer’s request or from a national survey.

The practical conclusion is narrower: know your value, understand your cash needs, and decide what questions and terms deserve review before a buyer’s proposal puts a clock on the discussion.

## Discussing your next step

**1. Consider a Broker Price Opinion.** For an established business with at least **$200,000 in annual owner benefit or SDE**, Lobo Business Sales LLC offers a data-backed opinion of probable market value starting at **$1,500**. Think of it as an ante: a defined investment to see your cards and make a more informed decision about whether to go to market or improve the business first. A BPO is not a certified business appraisal, lending approval, legal opinion, or tax opinion, and it is never a guarantee of value or sale outcome. Full certified appraisals typically start at $4,000–$5,000 and go up.

**2. Discuss confidential listing representation.** A complimentary initial 15-minute conversation can help determine whether confidential listing representation and buyer presentation are a fit. Consultations beyond the first 15 minutes are paid. [Review the confidential sale process and request an initial conversation](https://lobobusinesssales.com/sell-a-business).

## Frequently asked questions

### Does a seller have to offer financing?

No. Seller financing is a negotiated business decision, not an automatic obligation. A seller can decide not to offer a note, while recognizing that some buyers may need a different funding structure.

### Does an SBA buyer always need a seller note?

No. The report says 78% of buyers expect to use SBA-backed financing, but that does not mean every SBA-financed transaction requires seller financing. Ask the buyer’s lender to explain the requirements for the specific transaction.

### What does full standby mean for a seller?

Under the SBA’s current rules, full standby means no principal or interest payments on the seller note until the SBA loan is paid off. Confirm the note’s treatment and terms with the lender and the seller’s attorney before agreeing to a structure.

### Should a seller decide on a note before listing?

It is useful to identify your cash needs, questions, and negotiation boundaries before offers arrive. That is preparation, not a commitment to provide financing.
