# Thinking About Buying a Sports Bar? Here's What You Need to Know First

> “What am I really buying: a recognizable bar, or a business that can support its expenses and keep operating after the owner changes?”

Sports bars can appeal to buyers because they bring together food, beverage service, events, and a familiar gathering place. But the atmosphere is not the financial story. Before making an offer, a buyer needs to understand what produces the cash flow, which parts of the operation depend on the current owner, and whether essential agreements and approvals can support the buyer’s intended ownership.

## Why buyers are drawn to sports bars

An established sports bar may already have a menu, staff, equipment, vendor relationships, regular customers, and an operating history. That can give a buyer a starting point that a new concept would have to build. A sports-centered schedule may also create distinct busy and quiet periods, so the operating calendar matters.

The appeal is real, but it is not proof of profitability. A packed game night does not establish year-round earnings, sustainable margins, or transferable operations.

Evaluate the operating model: What attracts customers on ordinary days? How much revenue comes from food, beverages, events, takeout, or other activities? Does the business rely on the seller’s personal relationships or hands-on management?

## Understand the risks before valuing the opportunity

A sports bar combines several demanding operations: hospitality, food preparation, beverage purchasing, staffing, equipment maintenance, and event management. Each affects what a new owner actually earns.

The calendar can distort a quick impression. Separate routine sales from unusually strong events and examine revenue by month, day of week, and category. Review whether promotions and private bookings are repeatable, and whether they leave revenue after food, labor, and other costs.

Also assess the physical operation. Screens, sound systems, refrigeration, kitchen equipment, draft systems, HVAC, and furniture may need maintenance or replacement. Ask for equipment records and have appropriate professionals inspect the assets. The asking price alone does not reveal the cash a buyer may need for repairs, inventory, or transition.

## Evaluate earnings, not just sales

Start with reliable records and reconcile the seller’s financial statements against supporting information, such as point-of-sale reports, bank deposits, payment processor statements, tax filings, payroll, and invoices. Look for gaps, unexplained adjustments, or patterns that do not agree across records.

Two common earnings measures are **seller’s discretionary earnings (SDE)** and **EBITDA**. At a conceptual level, SDE describes earnings available to one working owner after certain owner-specific expenses and compensation are considered; EBITDA views operating results before interest, taxes, depreciation, and amortization. Neither measure should be accepted without understanding how it was calculated.

That is where **recasting owner benefits** comes in. A seller may identify personal expenses, unusual costs, or compensation adjustments as add-backs. Each item needs documentation and a reason it should not continue under new ownership. If the seller performs duties that a buyer will need to hire someone else to perform, account for the replacement labor. An add-back is not automatically a buyer benefit.

Review the bar’s revenue mix and costs together. Beverage and food purchases, waste, portion sizes, pricing, discounts, comps, and inventory controls all affect margins. Compare sales records with purchasing and inventory information, and ask how management tracks product use and investigates discrepancies. A strong revenue figure means less if costs are poorly understood or owner labor is missing from the calculation.

## Treat licensing and the lease as core acquisition issues

A sports bar’s liquor licensing situation deserves early attention. Identify the license’s status and what the proposed ownership change may mean for the buyer’s plans. **Verify license status, transferability, and any conditions with the applicable state and local licensing agency and qualified counsel.** Do not assume that a seller’s current ability to operate establishes what a buyer can do after closing.

For Florida reference, the [Florida Division of Alcoholic Beverages and Tobacco](https://www2.myfloridalicense.com/alcoholic-beverages-and-tobacco/) provides license information and materials related to managing or transferring ownership of an alcoholic beverage license. The agency’s information is a starting point, not a substitute for advice about a specific transaction.

The lease is equally important. Review the full lease and amendments, including permitted use, assignment terms, renewal options, rent obligations, and any restrictions relevant to the operation. **Review the lease with the landlord and qualified counsel.** A buyer should understand whether the existing arrangement can support the intended business and what conditions or changes may be involved.

## Account for staffing realities

A sports bar needs the right people in the right roles during both routine service and busy periods. Understand who handles scheduling, ordering, inventory, bookkeeping, kitchen oversight, bar management, opening and closing, and customer issues. Ask which employees are expected to stay and which responsibilities currently fall to the owner.

Review payroll and schedules alongside the financial records. Consider how the operation would work if key staff left or the owner stopped covering shifts. Attractive earnings that depend on the seller filling multiple unpaid roles may look different once those responsibilities are staffed and paid for.

## Common acquisition mistakes to avoid

Buyers can get ahead of their analysis by valuing the concept, relying on a single earnings figure, or treating seller explanations as verified facts. Other common missteps include overlooking the lease, assuming licensing will carry over, underestimating owner labor, and failing to inspect equipment or review food and beverage purchasing.

A disciplined review connects the pieces: financial records, operating costs, staffing, assets, licensing, lease terms, and the buyer’s own operating plan. A concern does not automatically stop a deal; it means the buyer needs a clear answer before relying on the opportunity.

## Questions to ask before moving forward

- What records support the reported sales and earnings?
- How are SDE or EBITDA calculated, and which adjustments are documented?
- What tasks does the current owner perform, and what would it cost to replace them?
- How do food, beverage, labor, inventory, and event costs change across the calendar?
- What is the liquor license’s status, and what must be verified with the appropriate agency and qualified counsel?
- What do the lease’s use and assignment provisions say, and has the landlord been consulted?
- Which equipment needs attention, and which employees are essential to daily operations?

These questions are useful whether the prospective acquisition is in Tampa Bay or elsewhere. Lobo Business Sales LLC serves business owners in Hillsborough, Pasco, Pinellas, Hernando, and Polk counties; the buyer education below is designed for a national audience.

## Frequently asked questions

**What should a buyer review in a sports bar’s financials?**
Review supporting records for sales, expenses, payroll, inventory, and owner adjustments. Understand how SDE or EBITDA was calculated and whether the records support the figures.

**What should a buyer check about a liquor license?**
Verify license status, transferability, and any conditions with the applicable state and local licensing agency and qualified counsel. Do not assume the license automatically works for a new owner.

**Why does the lease matter when buying a sports bar?**
The lease’s permitted use and assignment terms can affect whether the buyer can continue the intended operation. Review the lease with the landlord and qualified counsel.

**What is a common mistake when buying a bar?**
Relying on reported earnings without checking the records, owner duties, operating costs, staffing needs, lease terms, and licensing situation.
